Overview

In recent years, the use of structured finance products such as securitisation and note repacks have grown in popularity in Hong Kong and serves both as an alternative financial tool and investment product. The Cayman Islands have been a hub for securitisation for many years, and its orphan structures are particularly well-suited to the offshore structured financial transactions.

Objective

The seminar aims to give an overview of structured finance, with a focus on securitisation and note repacks. It will explore the key features of such types of financing, including bankruptcy remoteness, true sale and limited recourse. It will also examine the use of Cayman orphan SPV structures to facilitate such transactions.

Fiona CHAN
Fiona Chan is a partner in the corporate department of Appleby´s Hong Kong office, advising on a full spectrum of banking and finance, non-contentious insurance, private client and trust matters relating to the laws of Bermuda, British Virgin Islands and Cayman Islands. She has almost 20 years of offshore and onshore experience in the Asian market.

Fiona was selected as one of the region's 10 most notable offshore lawyers of the Asian Legal Business' Offshore Client Choice List 4 years in a row from 2017-2020. She was also selected as one of the 2017 Influential Women in Re/Insurance by Intelligent Insurer and recognized in Legal 500 Asia-Pacific (Offshore).
Melissa CHIU
Melissa Chiu is a Counsel in Appleby’s Hong Kong office and a member of the corporate and finance department. She has over five year experience practicing the laws of BVI, Cayman and Bermuda. Melissa’s experience in structured finance includes setting up on-balance sheet and off-balance sheet security backed and guaranteed structured note programmes, various debt securitisations as well as bespoke asset repackages.

Prior to joining Appleby, Melissa practised banking and finance law at another offshore law firm and another international law firm. Melissa is also admitted as a solicitor in the Eastern Caribbean Supreme Court to practice BVI law.
