DIRECTORS’ REPORT The directors submit herewith their annual report together with the consolidated audited financial statements for the year ended 31 March 2023. Principal place of business Hong Kong Securities and Investment Institute (the “Institute”) is an institute incorporated and domiciled in Hong Kong and has its registered office and principal place of business at 17/F, Cambridge House, Taikoo Place, 979 King’s Road, Quarry Bay, Hong Kong. Principal activities and business review The Institute and its subsidiaries (the “Group”) offer those who are interested in pursuing a career within the financial services industry a comprehensive programme of high quality professional training, events and internationally recognised examinations which aim to assist individuals achieve their own professional goals within the industry. Further discussion and analysis of the principal activities as required by Schedule 5 to the Hong Kong Companies Ordinance, including a discussion of the principal risks and uncertainties facing the Group and an indication of likely future developments in the Group’s business, can be found in the Business Review section set out in the Annual Report. This discussion forms part of this directors’ report. Auditors KPMG retire and, being eligible, offer themselves for re- appointment. A resolution for the re-appointment of KPMG as honorary auditors of the Institute is to be proposed at the forthcoming annual general meeting.
