GOVERNANCE STRUCTURE 管治架構 12 Hong Kong Securities and Investment Institute Annual Report 2022 Chairman and Chief Executive The Chairman of the Board is elected by the Board Directors at a Board meeting held prior to the AGM, and the appointment takes effect from the conclusion of such AGM. At the Board meeting held on 15 September 2021, Mr Colin Shaftesley was elected as the Chairman for a one- year term effective from its 24th AGM on 9 December 2021, subject to the election results at the AGM. The Chairman leads the Board in setting the overall strategy, directions and policies of the HKSI Institute and takes the role as an ex-officio member in all committees. Miss Ruth Kung, Chief Executive of the HKSI Institute is also an ex- officio member of all committees of the HKSI Institute. The Chief Executive is responsible for leading the HKSI Institute in its day-to-day management as well as to develop and execute strategies approved by the Board. 主席及行政總裁 於周年大會前召開的董事局會議中， 董事局成員會選出新任董事局主席， 惟有關任命須於有關周年大會結束時 生效。取決於年周年大會的董事局選 舉結果，及 2021 年 9 月 15 日舉行的董 事局會議中，石鈞年先生獲甄選為主 席，任期 1 年，並於 2021 年 12 月 9 日起 生效。 主席肩負領導董事局為學會制訂政策 及整體策略，並出任學會所有委員會 的當然成員。 行政總裁孔慶詩小姐亦是學會所有委 員會的當然成員。行政總裁負責學會 日常運作的行政工作，以及製訂和執 行經董事局批准的策略。 委員會 董事局下設有八個常設委員會，就其 既定功能獲授權監督學會籌辦的活動 及營運，並提供專業意見，以提升成 效。此外，委員會亦擔當重要的大使 角色，負責推廣學會、及其倡議的措 施和服務。 董事局會因應需要就特定項目設立專 責委員會。本財政年度的專責委員會 為二十五周年誌慶委員會、中國策略 委員會和空間應用委員會。 秘書處 秘書處由行政總裁領導，負責學會的 日常營運。秘書處共設九個部門，分 別為機構事務、企業傳訊、課程及考 試、持續培訓、創新及科技、市場拓 展、會籍、深圳辦事處，及資產財富 管理業先導計劃。 Committees There are 8 standing committees under the Board. They are delegated with certain powers to facilitate e f f ec t i ve ove r s i gh t o f de f i ned functions, and to provide counsel on the HKSI Institute’s programmes and operations. In addition, the commi t t ees p l ay an impo r t an t ambassadorial role in promoting the HKSI Institute, as well as its initiatives and service offerings. A d - h o c c o m m i t t e e m a y b e established by the Board for specific projects. The ad-hoc committees a c t i v e d u r i n g t h e r e p o r t i n g period are the 25th Anniversary Ce l eb r a t i on Commi t t ee , Ch i na Strategy Committee and the Space Committee. The Secretariat The Secretariat, led by the Chief Executive, is responsible for the day-to-day operations of the HKSI Institute. There are nine business un i t s w i t h i n t he Sec r e t a r i a t – Co r p o r a t e A f f a i r s , Co r p o r a t e Communications, Curriculum and Ex am i na t i on s , Edu c a t i on and Deve l opmen t , I nnova t i on and Technology, Market Development, Membership, Shenzhen Office and WAM Pilot Programme.
