Session I - Business Ethics - Regulatory and Legal Perspectives

 

Ms Rita Lily Liaw, Senior Commission Against Corruption Officer - Programme Co-ordinator / Business Sector, Community Relations Department, Independent Commission Against Corruption

Ms LIAW holds a Master Degree of Public Administration (University of Hong Kong).  She joined the Community Relations Department of the Independent Commission Against Corruption (ICAC) after graduation from the Chinese University of Hong Kong.  At present Ms LIAW heads the ICAC Regional Office (Hong Kong West & Islands) and takes charge of the corruption preventive education programme for the business sector.

During 1999-2005, Ms LIAW was the Executive Director of the Hong Kong Ethics Development Centre (EDC).  The EDC was formed under the auspices of the ICAC in 1995.  It represents the collaborative efforts of the HKSAR Government and the business community (as represented by six major chambers of commerce in Hong Kong) in the promotion business ethics locally and overseas.  Ms LIAW has represented the ICAC to conduct overseas duty visits, such as the visit to the US Congress and various departments of the US Federal Government in Washington D.C. to exchange experiences in corruption prevention and ethics promotion.



Mr Mark Steward, Executive Director, Enforcement Division, Securities and Futures Commission


Before joining the SFC, Mr Steward held several senior positions with the Australian Securities and Investments Commission (ASIC) and was most recently Deputy Executive Director, Enforcement at ASIC. Mr Steward has been involved in corporate and securities regulation since 1987 in both Australia and in the UK specialising in investigatory work and resulting litigation. Mr Steward completed a law degree at the University of Melbourne in 1989. He has practised extensively in Australian courts.



Mr Henry Yu Let-pen, Detective Senior Inspector, Fraud Investigations, Commercial Crime Bureau, Hong Kong Police Force


Detective Senior Inspector Henry YU has served in the Hong Kong Police for over 10 years, he is now serving in the Commercial Crime Bureau of the Hong Kong Police as the lead investigator and officer in charge of commercial fraud investigation. He has extensive experience in the investigation and prosecution of asset misappropriation, accounting fraud and related money laundering cases involved in the securities and the banking sector.

Besides graduated with a business degree, Mr YU also holds a PCLL and a Master in Corporate and Financial Laws with the University of Hong Kong.  Mr YU is a Certified Fraud Examiner and a Professional Member of the Association of Certified Anti-Money Laundering Specialists.



Mr Martin Rogers, Partner, Clifford Chance


Martin Rogers is the Head of the Asia Litigation & Dispute Resolution practice and Co-Head of the Asia Regulatory Group. Across these two groups, he manages a combined Asian team of approximately 55 lawyers. He has 18 years' experience in Asia, having been based in Hong Kong since 1990.


He has been the Partner of Clifford Chance since 2002. He has been the General Editor of Hong Kong White Book (High Court Civil Procedure Manual) since 2000 and also the Group Head of Compliance of Sino Land Group since 2005. He was the Deputy Registrar of Hong Kong High Court during 2001-2002 and the Chairperson of SFC Share Registrars Disciplinary Committee during 2003 - 2007.


He is a Member of Hong Kong Securities Institute, Representative for the PRC and Hong Kong of TRACE International, Honorary Lecturer and Law School Board in City University of Hong Kong, and also Honorary Lecturer in University of Hong Kong. He is in the Board of Governors Advocacy Institute of Hong Kong, and also in the Sub-Committee on Class Actions Procedure of Law Reform Commission of Hong Kong Government.



Session II - Business Ethics - Market and Practitioners' Perspectives


Ms Barbara Shiu
, Chief Risk Officer, BOC International Holdings Ltd


Ms Shiu is the investment banking arm of the Bank of China Group. BOC International specializes in China and Hong Kong securities market, in particular cross border businesses. She is a member of the Executive Committee, and a member of the Risk Management Committee, with oversight of the risk issues in BOCI. In addition, she chairs the audit committee of BOCI-Prudential Trustee Company Limited, a joint venture between BOCI and Prudential Assurance of U.K.


Outside of BOCI, Ms Shiu is an active participant in the Hong Kong securities industry, and acts as Vice Chairman of Hong Kong Securities Institute, a non-profit organization that provides training to market practitioners and administers the exams for SFC licenses. She is also a member of the Cash Market Consultative Panel of the Hong Kong Stock Exchange, and a member of the Investment Education Advisory Committee of the Hong Kong Securities and Futures Commission.


Prior to joining BOCI in March 2004, Ms. Shiu was Commissioner, Strategy and Development Committee for the China Securities Regulatory Commission, the securities regulator of Peoplesˇ¦ Republic of China, in Beijing. From 1995 to 2001, Ms. Shiu held positions as the Senior Director of Corporate Finance Division and Intermediary Supervision Division in the Hong Kong Securities and Futures Commission, during that time she had acted as the Takeover Executive, was involved in listing rule policies, and was responsible for the licensing and ongoing supervision of securities intermediaries in Hong Kong. Before becoming a securities regulator, Ms. Shiu spent many years in the commercial and investment banking field, working both in Hong Kong and North America. She received her MBA from the Rotman Business School of the University of Toronto.



 Mr Timon Liu, Company Secretary, Henderson Land Development Co Ltd


LIU Cheung Yuen, Timon BEc, FCPA, CA (Aust), FCS, FCIS, joined the Henderson Land Group in 2005 and is presently the Company Secretary of the Group. Mr Liu graduated from Monash University, Australia with a bachelor's degree in Economics. He is a fellow of both the Hong Kong Institute of Certified Public Accountants and The Hong Kong Institute of Chartered Secretaries, and an associate of The Institute of Chartered Accountants in Australia. He has many years' experience in accounting, auditing, corporate finance, corporate investment and development, and company secretarial practice.
